Terms of Service

These Terms of Service ("Terms") govern your access to and use of the services, software, and platform provided by GridFlow Technologies ("GridFlow," "we," "us," or "our") (collectively, the "Services"). By accessing or using the Services, you agree to be bound by these Terms. If you do not agree, do not use the Services.
1. Accounts and Access
1.1 Registration
To use the Services, you or your organization must create an account. You agree to provide accurate, current, and complete information and to keep it updated. You are responsible for all activity that occurs under your account.
1.2 Authorized Users
You may grant access to the Services to employees or contractors acting on your behalf ("Authorized Users") consistent with your subscription plan. You are responsible for ensuring all Authorized Users comply with these Terms.
1.3 Account Security
You are responsible for maintaining the confidentiality of your credentials. You must notify GridFlow immediately at security@gridflow.io if you suspect unauthorized access to your account.
2. Subscriptions and Payment
2.1 Plans
Services are offered under subscription plans as described on our Pricing page. Your subscription plan determines the features available to you and the number of Authorized Users permitted.
2.2 Billing
Fees are billed in advance on a monthly or annual basis depending on your chosen plan. All fees are non-refundable except as expressly stated in these Terms or required by applicable law.
2.3 Taxes
Fees do not include applicable taxes. You are responsible for all taxes associated with your use of the Services, excluding taxes on GridFlow's income.
2.4 Upgrades and Downgrades
You may upgrade your plan at any time; the new rate will be prorated for the remainder of the billing period. Downgrades take effect at the next renewal date.
3. Acceptable Use
You agree not to:
- Use the Services for any unlawful purpose or in violation of any applicable regulation, including NERC CIP, FERC, or other utility industry regulations
- Attempt to gain unauthorized access to any GridFlow system, network, or data
- Reverse-engineer, decompile, or disassemble any component of the Services
- Transmit any malware, viruses, or other malicious code
- Interfere with or disrupt the integrity or performance of the Services
- Resell, sublicense, or transfer your rights to the Services without GridFlow's prior written consent
- Use the Services to develop a competing product or service
4. Intellectual Property
4.1 GridFlow IP
GridFlow and its licensors retain all intellectual property rights in the Services, including all software, algorithms, models, documentation, and trademarks. These Terms grant you a limited, non-exclusive, non-transferable license to use the Services solely for your internal business operations.
4.2 Your Data
You retain all rights to the data, content, and information you upload to the Services ("Customer Data"). You grant GridFlow a limited license to process Customer Data solely to provide the Services to you.
4.3 Feedback
If you provide GridFlow with feedback or suggestions regarding the Services, GridFlow may use such feedback without restriction or obligation to you.
5. Confidentiality
Each party agrees to keep the other's confidential information ("Confidential Information") confidential using at least the same degree of care used to protect its own confidential information (but no less than reasonable care), and not to disclose Confidential Information to any third party without the other party's prior written consent, except as required by law.
6. Service Levels and Availability
GridFlow targets a platform uptime of 99.9% per calendar month, excluding scheduled maintenance windows (which will be communicated at least 48 hours in advance). Scheduled maintenance does not count toward downtime calculations. GridFlow will notify you of unplanned outages via the status page at status.gridflow.io.
7. Warranties and Disclaimers
GridFlow warrants that the Services will perform materially in accordance with the applicable documentation. EXCEPT AS EXPRESSLY STATED HEREIN, THE SERVICES ARE PROVIDED "AS IS" WITHOUT WARRANTY OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR NON-INFRINGEMENT. GRIDFLOW DOES NOT WARRANT THAT THE SERVICES WILL BE ERROR-FREE OR UNINTERRUPTED.
8. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, IN NO EVENT SHALL GRIDFLOW BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, EXEMPLARY, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR DAMAGES FOR LOSS OF PROFITS, REVENUE, DATA, BUSINESS, OR GOODWILL, EVEN IF GRIDFLOW HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.
GRIDFLOW'S TOTAL CUMULATIVE LIABILITY ARISING OUT OF OR RELATED TO THESE TERMS OR THE SERVICES SHALL NOT EXCEED THE FEES PAID BY YOU TO GRIDFLOW IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM.
9. Indemnification
You agree to indemnify, defend, and hold harmless GridFlow and its officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, and expenses (including reasonable attorney's fees) arising out of or relating to your use of the Services, violation of these Terms, or infringement of any third-party rights.
10. Term and Termination
10.1 Term
These Terms are effective from the date you first access the Services and remain in effect until your subscription is terminated.
10.2 Termination by You
You may terminate your subscription at any time by providing written notice to GridFlow. Termination takes effect at the end of the current billing period.
10.3 Termination by GridFlow
GridFlow may suspend or terminate your access immediately if you materially breach these Terms, fail to pay fees when due, or if GridFlow is required to do so by law.
10.4 Effect of Termination
Upon termination, your right to use the Services ceases. GridFlow will make Customer Data available for export for 30 days following termination, after which it may be deleted.
11. Governing Law and Dispute Resolution
These Terms are governed by the laws of the State of Delaware, without regard to its conflict of law provisions. Any dispute shall be resolved by binding arbitration administered by the American Arbitration Association under its Commercial Arbitration Rules. Notwithstanding the foregoing, either party may seek injunctive or other equitable relief in any court of competent jurisdiction.
12. Changes to These Terms
GridFlow may update these Terms from time to time. We will provide at least 30 days' notice of material changes via email or a prominent notice in the platform. Continued use of the Services after the effective date of the updated Terms constitutes acceptance of the changes.
13. General
- Entire Agreement: These Terms, together with any applicable Order Form and our Privacy Policy, constitute the entire agreement between you and GridFlow regarding the Services.
- Severability: If any provision of these Terms is found to be unenforceable, the remaining provisions remain in full force and effect.
- Waiver: Failure to enforce any right or provision of these Terms will not be considered a waiver of those rights.
- Assignment: You may not assign these Terms without GridFlow's prior written consent. GridFlow may assign these Terms in connection with a merger, acquisition, or sale of assets.
